Welcome to the NorthPoint Enterprise Solutions, LLC website and vendor management platform that connects property managers and owners with qualified service providers (the "Service").
1. Acceptance of Terms
By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms of Use (the "Terms"). If you do not agree, discontinue use of the Service immediately.
These Terms apply to all registered users, including vendors, service providers, property managers, and any other authorized users. If you are accessing the Service on behalf of a company or other legal entity, these Terms are binding on that entity and all individuals accessing the Service on its behalf.
NorthPoint may update these Terms at any time. Continued use of the Service following any modification constitutes your acceptance of the revised Terms.
2. Use Eligibility
By using the Service, you represent that you are either (a) an authorized representative of a legitimate legal entity, or (b) an individual who is at least 18 years of age or an emancipated minor with legal capacity to enter into binding agreements. The Service is not intended for use by anyone under the age of 18.
3. Creating an Account
Vendor service providers must complete a registration application before accessing the platform. If approved, you agree to complete your profile accurately and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify NorthPoint immediately if you believe your account has been compromised.

4. Permitted Use
You agree to use the Service only for its intended purpose of connecting with property managers and owners for legitimate business opportunities. You may not use the Service to:
- Infringe on any intellectual property, contractual, or legal right of any person or entity
- Engage in any unlawful, harmful, deceptive, fraudulent, or abusive conduct
- Transmit unsolicited advertisements, spam, or bulk communications
- Upload or distribute harmful code, viruses, or disabling software
- Harvest personally identifiable information from other users
- Attempt to gain unauthorized access to any part of the Service or its connected systems
- Impersonate NorthPoint or any of its employees, agents, or representatives
- Interfere with the proper operation of the Service
NorthPoint reserves the right, in its sole discretion and without notice, to deny or terminate any user's access to the Service at any time.
5. Non-Circumvention
You agree not to solicit or enter into direct business arrangements with any property manager or owner with whom you were connected solely through the NorthPoint platform, without NorthPoint's prior written consent. You further agree not to solicit, hire, or otherwise engage any NorthPoint employee or contractor during your use of the Service and for a period of twelve (12) months thereafter.
6. Content and Intellectual Property
You retain ownership of any information, documents, or materials you upload to the Service. By uploading content, you grant NorthPoint a limited license to use that content solely as necessary to provide the Service. You represent that you have all rights necessary to upload and share any content you submit.
NorthPoint and its licensors retain all ownership and intellectual property rights in the Service itself, including its software, design, reports, graphics, and platform features. You may not reproduce, copy, reverse engineer, or create derivative works from any part of the Service without NorthPoint's express written consent.
7. Third-Party Links
The Service may contain links to third-party websites or services for your convenience. NorthPoint does not endorse or control those third-party sites and is not responsible for their content, accuracy, or practices. Your use of any linked site is at your own risk.
8. Indemnification
You agree to indemnify, defend, and hold harmless NorthPoint Enterprise Solutions, LLC, its affiliates, officers, directors, agents, and employees from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.
9. Disclaimer & Limitation of Liability
NorthPoint does not guarantee that use of the Service will result in any business award, contract, or revenue opportunity.
The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, NorthPoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service. NorthPoint's total liability to you shall not exceed the amounts paid by you to NorthPoint in the twelve (12) months preceding the claim.
10. Independent Contractor
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and NorthPoint. You are an independent contractor.
11. Termination
NorthPoint may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, the indemnification, disclaimer, and limitation of liability provisions of these Terms survive.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Rhode Island, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Providence County, Rhode Island. Any claim must be brought within one (1) year of the date the claim arises.
13. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and NorthPoint Enterprise Solutions, LLC regarding your use of the Service.
14. AI-Powered Proposal Generation Features
(a) Informational Drafts Only: The Platform utilizes third-party artificial intelligence tools to assist Users in drafting project proposals based on user-inputted descriptions. All generated outputs, including itemized scopes, cost estimates, and timelines, are intended strictly as preliminary drafts for informational purposes.
(b) Obligation to Verify: You acknowledge that AI technology is subject to inherent limitations, including the potential for errors, omissions, or "hallucinations." You assume full responsibility for reviewing, editing, and verifying the accuracy of all generated content before saving, converting to PDF, or emailing a proposal to any third party.
(c) Exclusion of Liability: NorthPoint Enterprise Solutions, LLC expressly disclaims all liability for financial losses, underbids, billing disputes, property damage, or legal claims resulting from your reliance on, or use of, AI-generated proposals.
(d) Third-Party Dependency: The AI-powered proposal generation features rely on third-party API infrastructure, including services provided by OpenAI. NorthPoint does not own or control this third-party infrastructure and is not responsible for any API downtime, service interruptions, discontinuation, or changes to the underlying AI models that may affect the availability, behavior, or output of these features.
(e) Output Ownership: As between you and NorthPoint, you own the proposal content generated using these AI features. However, by choosing to use and rely on that generated output, you also assume 100% of the risk associated with its use, including any inaccuracies, omissions, or consequences arising from your reliance on it.
15. Automated Compliance Document Verification
(a) Verification of Compliance Documents: The Platform utilizes automated machine learning tools to parse text from uploaded Form W-9s and Insurance Certificates (COIs).
(b) No Guarantee of Authenticity: A high system "confidence score" or successful data extraction does not constitute a legal verification, authentication, or endorsement of the underlying insurance policy or tax status by NorthPoint Enterprise Solutions, LLC.
(c) Final Human Review: While NorthPoint Enterprise Solutions, LLC employs a human verification step for added security, users and vendors remain solely responsible for ensuring that all uploaded documents are authentic, legally valid, up-to-date, and accurately reflect active coverage limits.
(d) Limitation of Liability: NorthPoint Enterprise Solutions, LLC disclaims all liability for fraudulent documents, expired policies parsed incorrectly, or financial losses resulting from reliance on automated compliance tracking status.
